Actavis to Buy Forest Labs

Actavis to Buy Forest Labs. Generic drug maker Actavis PLC (ACT) will buy Forest Labs (FRX) for approximately $25 billion in cash and stock. Actavis will pay $89.48 per share, representing a premium of 25% to Forest's closing price on Friday. The offer comprises $26.04 in cash and 0.3306 Actavis share for every Forest share. Actavis said the deal should increase its profits by double-digit percentages in 2015 and 2016, including about $1 billion in tax and operating savings.

King Obama Uses His Pen. During the State of the Union speech President Obama said that “We’re not just going to be waiting for legislation, or plans, or any logical idea of what will actually result in order to make sure that we’re providing Americans the kind of help I’ve decided they need,” He went on to say “I’ve got a pen, I’ve got paper, scotch tape, a fax machine, a copier, a phone, and a whole box of those binder clips.”  Working around Congress the President used his pen and changed his Obamacare law once again. The latest law change will delay the part of Obamacare, saying that businesses with 50-99 full-time workers won't have to provide health insurance to their workers until 2016. Which analysts say is a political move designed to put off the requirement until after the election. Larger companies will have to cover at least 70% of employees by 2015 and 95% buy 2016. The original law states that companies had to offer health coverage this year.

Disney Reports Good Quarterly Results. Walt Disney's (DIS) reported quarterly results that beat Wall Street’s expectations. Disney announced that their FQ1 net profit rose +33% to $1.84B and earnings of $1.04. Revenue at the entertainment giant climbed +8.6% to $12.31B. Sales grew across all of Disney's different divisions with close to half of the company's profit coming from Media Networks, led by ESPN. The films "Frozen" and "Thor: The Dark World" helped studio revenue leap +23% to $1.89B. Pre-market: 74.65 +2.89 (4.03%)

JPMorgan Hired Relatives To Get Deals. Reports indicate that JPMorgan (JPM) began hiring relatives of government and other officials to secure banking deals. According to the NYTreports one email says "We lost a deal to DB (Deutsche Bank) today because they got (the) chairman's daughter (to) work for them this summer." JPMorgan and several other U.S. banks are being investigated for their recruitment policies in China and other overseas countries.

Reports say that AstraZeneca (AZN) has met with Forest Labs (FRX) top executives concerning a takeover bid for the company. Forest Labs has a market cap of $15.2B and on Monday announced a restructuring on Monday.
